A wholesaler wants to close both the purchase (A-B) and the resale (B-C) rather than assign the contract — to keep the original price private from the end buyer, or because an assignment isn't permitted. The wholesaler doesn't have the cash to fund the A-B purchase; transactional capital does, and is repaid from the B-C proceeds.
Back-to-back wholesaling, land flipping, and any deal where the end buyer's funds close the B-C leg the same day (or within days) as the A-B purchase.
Wholesalers and land flippers with executed A-B and B-C contracts, a funded end buyer (proof of funds or loan approval), and a title/escrow company that can coordinate both closings. No credit pull and no conventional income verification on the current transactional structure.
Up to 100% of the A-B purchase, up to $100M+, same-day or back-to-back, 1.25% base fee for transactional capital up to $1M, tiered pricing above $1M (typically beginning around 2%, not a flat 2%), +1% for less than one week's notice, +1% for multiple title companies or non-sequential closings, no credit pull, both contracts required, end buyer funding required, title/escrow coordination required.
Seller (A) → A-B closing → Wholesaler/Investor (B) → B-C closing → End Buyer (C). The transactional capital funds the A-B purchase; the B-C closing repays the advance. Capital is wired directly to title/escrow; no borrower funds move through personal accounts.
1) A-B contract executed. 2) B-C contract executed. 3) End-buyer funds or financing confirmed. 4) Title/escrow reviews both transactions. 5) B-C funds available/confirmed per closing instructions. 6) Transactional capital funds the A-B purchase. 7) A-B closes. 8) B-C closes. 9) Capital and fees repaid through escrow. 10) Remaining proceeds distributed. Funds do not move until the B-C funds are confirmed in escrow.
Repayment occurs through title/escrow from the B-C proceeds. Capital is wired to and repaid at the title company once the B-C funds are confirmed. If the B-C closing does not occur, the structure does not complete as designed.
If the end buyer isn't funded, the B-C can't close and the structure doesn't complete. Multiple title companies or non-sequential closings add execution complexity (+1%). Less than one week's notice is a rush (+1%). Rules differ by jurisdiction and transaction — confirm applicable legal/title requirements.
If only the earnest money (not the full A-B purchase) needs funding, EMD Funding is simpler. If the gap is a down-payment on the B-C leg with the end buyer's primary loan, Echo is the route.
